NOTE: REVIEW OF THE FEE BY THE COURTAccording to Article 438d of Companies Act, if the offered fee is not appropriate, any minority shareholder may, within 30 days of the day of registration of the decision on transfer of shares to the controlling shareholder/acquiring party in the court register, propose that the court determine an appropriate fee in an out-of-court proceedings. A minority shareholder has the same right if the controlling shareholder/acquiring party failed to make a proper payment (i.e. it did not compute interest, did not make the full payment etc.), as well as in the case of failure to offer an appropriate cash compensation for the shares of an individual minority shareholder within 30 days of the receipt of claim from any remaining company shareholders.

REMARK: STATUTE OF LIMITATIONS FOR RIGHT TO PAYMENT OF THE CASH FEEPursuant to Article 440 of the Companies Act the right to payment of the cash fee becomes a subject of statute of limitations within three (3) years as of the day of registration of the decision on transfer of shares in the court register, after which the funds that were deposited as the cash fee will be transferred to the Republic of Srpska budget.
