In accordance with Art. 438. - 438d. of the Companies Act, on 26 June 2013, the Central Registry performed transfer of shares from minority shareholders to the controlling shareholder, upon the request of the controlling shareholder - issuer TRGOPROM AD Kotor Varoš.
The shareholder whose shares have been transferred to the controlling shareholder is entitled to cash compensation.
For each share that is subject to transfer to controlling shareholder, the amount of 0,28 KM was determined by the controlling shareholder, as an appropriate compensation per share.
The funds for the payment of the compensation were paid into the Central Registry special purpose account by the controlling shareholder.
The shareholder shall, within the shortest possible time as of learning about transfer of shares to the controlling shareholder, notify the Central Registry of the number of cash account to which the cash that the shareholder is entitled to, based on transfer of shares to the controlling shareholder, will be transferred, unless the shareholder's account number has been entered in the Central Registry system during another procedure.

NOTE: OBSOLESCENCE OF THE RIGHT TO RECEIVE CASH COMPENSATION
Art. 440 of the Companies Act regulates that the right to receive cash compensation shall become obsolete within three (3) years as of the day of entering the decision on transfer of shares in the court register, after which the funds that were deposited as cash compensation will be transferred to the Republic of Srpska budget.
Transfer of cash that was not paid to the minority shareholders of the issuer TRGOPROM AD Kotor Varoš shall be transferred to the Republic of Srpska budget on 06 June 2016.

U skladu s čl. 438. - 438d. Zakona o privrednim društvima Centralni registar je dana 26.06.2013. godine izvršio prenos akcija sa manjinskih akcionara na kontrolnog akcionara po volji kontrolnog akcionara emitenta TRGOPROM AD Kotor Varoš.
Akcionar čije su akcije prenesene na kontrolnog akcionara ima pravo na naknadu u novcu.
Za svaku akciju koja je predmet prenosa na kontrolnog akcionara, kontrolni akcionar je odredio iznos od 0,28 KM, kao primjerenu naknadu po akciji.
Sredstva za isplatu naknade kontrolni akcionar je uplatio na račun Centralnog registra za posebnu namjenu.
Akcionar je dužan da u što kraćem roku od saznanja za prenos akcija na kontrolnog akcionara, obavijesti Centralni registar o broju novčanog računa na koji će se sa računa za posebnu namjenu doznačiti novčana sredstva koja akcionaru pripadaju po osnovu prenosa akcija na kontrolnog akcionara, ako broj novčanog računa akcionara nije unesen u sistem Centralnog registra u nekom drugom postupku.

NAPOMENA: ZASTARIJEVANJE PRAVA NA ISPLATU NOVČANE NAKNADE
Član 440. Zakona o privrednim društvima propisao je da pravo na isplatu novčane naknade zastarjeva u roku od tri (3) godine od dana upisa odluke o prenosu akcija u sudski registar, nakon čega će sredstva koja su bila deponovana na ime novčane naknade prenose se na budžet Republike Srpske.
Prenos novčanih sredstava koja nisu isplaćena manjinskim akcionarima emitenta TRGOPROM AD Kotor Varoš biće prenesena na budžet Republike Srpske na dan 06.06.2016. godine
