The Law on Amendments to the Law on Business Companies (Official Gazette of the RS No. 17/23), which entered into force on March 2, 2023, adopted two amendments related to payments to minority shareholders in the process of transferring minority shareholders' shares to the buyer :
1) The statute of limitations for the payment of monetary compensation and any price difference for purchased shares has been extended from three (3) to ten (10) years, for rights that have not expired by the date of entry into force of that law.
2) In the case of filing a request for a judicial review of the appropriate compensation, payments to minority shareholders are not suspended. In procedures where payments have already been suspended, the suspension is lifted and payments are resumed.
The aforementioned changes apply to minority shareholders of the following issuers, as well as all procedures conducted after the entry into force of the changes to the law:
